Terms of Service

1. Acceptance of Terms

By accessing or using Cytherra ("the Service"), operated by Cytherra Inc. ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

You must be at least 13 years old to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Cytherra provides an AI-native search API that returns pre-indexed web content as clean, structured Markdown. The Service includes:

  • Search API — semantic search against our pre-built web index
  • MCP Server — Model Context Protocol integration for AI assistants
  • Dashboard — account management, API key management, usage tracking
  • Token Benchmark — tool for measuring token efficiency

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and API keys. You agree to:

  • Provide accurate and complete registration information
  • Keep your password and API keys secure
  • Notify us immediately of any unauthorized access
  • Not share API keys publicly or in client-side code

We may suspend or terminate accounts that violate these Terms.

4. Plans, Billing, and Payments

4.1 Free Plan

The Free plan includes 1,000 searches per month and 1 API key at no cost. No credit card required.

4.2 Paid Plans

Paid plans (Developer, Growth, Enterprise) are billed monthly via Stripe. Prices are listed on our pricing page and may change with 30 days notice.

4.3 Usage Limits

Each plan has a monthly search quota. When you exceed your quota, additional requests may be rate-limited or incur overage charges as specified in your plan.

4.4 Refunds

Monthly subscriptions can be canceled at any time. Refunds are not provided for partial months. If you believe you were charged in error, contact billing@cytherra.com within 14 days.

4.5 Plan Changes

Upgrades take effect immediately with prorated billing. Downgrades take effect at the start of the next billing cycle.

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose
  • Attempt to reverse-engineer, decompile, or extract our crawled index
  • Circumvent rate limits, quotas, or authentication mechanisms
  • Use the Service to scrape, mirror, or redistribute our content in bulk
  • Submit malicious queries designed to exploit the system
  • Share or resell access to the Service without our written consent
  • Use the Service to generate spam, phishing content, or malware
  • Impersonate another person or entity

6. API Keys

API keys are confidential credentials. You must:

  • Store keys securely (environment variables, secrets managers)
  • Never commit keys to public repositories
  • Never embed keys in client-side code or mobile apps
  • Revoke compromised keys immediately

We are not liable for unauthorized use of your API keys. You are responsible for all activity under your keys.

7. Intellectual Property

7.1 Our Content

The Cytherra platform, branding, documentation, and API design are our intellectual property. You may not copy, modify, or distribute them without permission.

7.2 Search Results

Search results are derived from publicly available web content. We do not claim ownership of the underlying content. You are responsible for ensuring your use of search results complies with the original content's terms and applicable copyright law.

7.3 Your Content

You retain ownership of your queries, API integrations, and any content you create using our Service.

8. Service Availability

We strive for high availability but do not guarantee uninterrupted service. We may:

  • Perform scheduled maintenance with advance notice
  • Experience outages due to infrastructure issues
  • Modify, update, or deprecate features with reasonable notice

Enterprise plans may include custom SLA agreements.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CYTHERRA IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, data, or business opportunities
  • Inaccuracies in search results or indexed content
  • Service interruptions or downtime

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold Cytherra harmless from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third party's rights.

11. Termination

You may close your account at any time from the dashboard. We may suspend or terminate your account if you violate these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. We may delete your data after 30 days.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on our website at least 30 days before the changes take effect. Continued use of the Service after changes constitutes acceptance.
